These General Terms & Conditions apply to all photography, videography, film production and related creative services provided by Yor Visuals.
Article 1. Applicability
1.1 These General Terms & Conditions apply to all quotations, proposals, agreements and services between Yor Visuals and the client, hereinafter referred to as the “Client”, unless otherwise agreed in writing.
1.2 Any deviations from these General Terms & Conditions are only valid when agreed upon in writing by Yor Visuals and the Client.
1.3 By accepting a quotation, proposal or booking from Yor Visuals, the Client agrees to these General Terms & Conditions.
Article 2. Quotations and Agreements
2.1 All quotations and proposals are non-binding and valid for 30 days unless otherwise stated.
2.2 An agreement is established once the Client has accepted the quotation or proposal in writing.
2.3 The scope of the project, including shoot duration, location, deliverables and other agreed services, will be specified in the quotation or project agreement.
2.4 Additional work or services requested outside the agreed scope may be charged separately.
2.5 Yor Visuals reserves the right to refuse an assignment if it conflicts with applicable law, professional standards or if Yor Visuals reasonably determines that the assignment falls outside its expertise or availability.
Article 3. Execution of Services
3.1 Yor Visuals will perform all services to the best of its ability, with professional care and in accordance with the agreed creative direction.
3.2 The Client is responsible for providing all information, materials, schedules, products and other requirements necessary to carry out the assignment correctly and on time.
3.3 Yor Visuals is not liable for delays, additional costs or other consequences resulting from incomplete, incorrect or late information provided by the Client or third parties involved in the production.
3.4 Unless specific creative requirements have been agreed upon in writing, Yor Visuals retains creative freedom regarding filming techniques, camera movements, lenses, lighting, composition, editing, colour grading and the overall visual interpretation of the project.
3.5 References, moodboards and example videos provided by the Client are intended as creative guidance and do not guarantee an identical result.
Article 4. Planning, Locations and Production
4.1 The Client is responsible for ensuring access to agreed filming locations unless Yor Visuals has explicitly agreed to arrange the location.
4.2 Any permits, permissions or location fees required for filming are the responsibility of the Client unless otherwise agreed in writing.
4.3 The Client is responsible for obtaining appropriate permission from models, employees or other persons appearing in the production unless Yor Visuals has explicitly agreed to arrange this.
4.4 Delays caused by the Client, models, styling, hair and make-up, locations or other third parties may affect the amount of content that can be produced within the agreed production time.
4.5 If the production exceeds the agreed hours due to circumstances attributable to the Client, additional hours may be charged.
Article 5. Travel and Additional Expenses
5.1 Travel expenses, accommodation, parking, flights, transportation, location fees, permits and other production-related expenses are not included unless explicitly stated in the quotation.
5.2 Any additional expenses reasonably required to complete the assignment may be charged to the Client, provided these expenses have been agreed upon where reasonably possible.
5.3 International productions may require separate agreements regarding travel days, accommodation, equipment transportation and other production expenses.
Article 6. Delivery and Editing
6.1 Yor Visuals will aim to deliver the final agreed content within the delivery period communicated to the Client.
6.2 Delivery periods are indicative unless a specific deadline has been expressly agreed upon in writing.
6.3 The Client will receive only the final edited videos and other deliverables specified in the quotation.
6.4 Raw footage, unedited footage, project files and other source materials are not included in the standard delivery unless explicitly agreed upon in writing.
6.5 Yor Visuals determines the technical and creative editing process, including selection of footage, pacing, transitions, colour grading and other post-production choices, within the agreed creative direction.
Article 7. Revisions
7.1 The number of revision rounds included in the project will be specified in the quotation or project agreement.
7.2 Unless otherwise stated, one reasonable revision round is included in the agreed project fee.
7.3 Revision requests must remain within the scope and creative direction originally agreed upon.
7.4 Additional revision rounds, major changes to the original concept or requests that substantially alter an approved edit may be charged separately.
7.5 Once the Client has approved the final video, subsequent changes may be considered additional work and charged accordingly.
Article 8. Intellectual Property and Usage Rights
8.1 All copyrights and intellectual property rights relating to footage, videos and other creative work produced by Yor Visuals remain with Yor Visuals unless explicitly transferred in writing.
8.2 Upon full payment of all outstanding invoices, the Client receives a licence to use the final delivered content according to the usage rights agreed upon in the quotation or agreement.
8.3 Usage rights may be limited by duration, territory, platform, media type or purpose, depending on the agreement.
8.4 Unless otherwise agreed, the Client may use the delivered content through its own website and organic social media channels.
8.5 Paid advertising, television, cinema, print, out-of-home advertising, resale, sublicensing or use by third parties may require additional usage rights and fees.
8.6 The Client may not sell, sublicense or transfer the delivered content to third parties unless agreed upon in writing.
8.7 The Client may not substantially alter, re-edit or manipulate the final delivered films in a way that affects the creative integrity of the work without prior permission from Yor Visuals.
8.8 Full copyright buy-outs or unrestricted usage rights are only granted when explicitly agreed upon in writing and may be subject to an additional fee.
Article 9. Portfolio and Promotional Use
9.1 Unless otherwise agreed in writing, Yor Visuals reserves the right to use completed work and excerpts from the production for its own portfolio, website, social media, showreels, awards, publications and other promotional purposes.
9.2 If a campaign is subject to an embargo or launch date, Yor Visuals will respect the agreed publication date when this has been communicated in writing in advance.
9.3 If the Client requires the work to remain fully confidential or prohibits portfolio use, this must be agreed upon before the assignment.
Article 10. Music and Third-Party Materials
10.1 Where music is included in a production, Yor Visuals will use appropriately licensed music where agreed as part of the project.
10.2 Music licences may contain restrictions regarding platforms, paid advertising, geographical territories or duration of use.
10.3 The Client is responsible for complying with any restrictions applicable to the music licence communicated by Yor Visuals.
10.4 Yor Visuals is not responsible for copyright claims resulting from music, logos, fonts, images or other materials supplied or specifically requested by the Client where the Client does not hold the necessary rights.
Article 11. Payment
11.1 Unless otherwise agreed in writing, the Client is required to pay the full invoice before the final videos and other final deliverables are released.
11.2 Invoices must be paid within the payment term stated on the invoice, unless otherwise agreed in writing.
11.3 Yor Visuals may provide preview versions of the videos for review and feedback prior to payment. These preview versions may not be published, distributed or used commercially by the Client.
11.4 Final high-resolution files will only be delivered once all outstanding invoices relating to the assignment have been paid in full, unless a different payment arrangement has been agreed upon.
11.5 Usage rights for the delivered content become effective only after full payment has been received.
11.6 In the event of late payment, Yor Visuals reserves the right to suspend the delivery of final files and any further services until payment has been received.
11.7 Reasonable costs incurred in collecting overdue payments, including collection and legal costs where permitted by law, may be charged to the Client.
Article 12. Cancellation and Rescheduling
12.1 Cancellations or requests to reschedule must be communicated in writing.
12.2 If the Client cancels or reschedules the assignment within 7 days before the agreed production date, Yor Visuals reserves the right to charge a cancellation fee.
12.3 Costs already incurred by Yor Visuals in preparation for the assignment, including travel, accommodation, rentals, crew, locations and other third-party expenses, remain payable by the Client.
12.4 If a production needs to be rescheduled due to weather conditions or other circumstances outside the reasonable control of either party, Yor Visuals and the Client will make reasonable efforts to agree on a new production date.
Article 13. Force Majeure
13.1 Yor Visuals is not liable for failure or delay in performing the agreement as a result of circumstances beyond its reasonable control, including illness, accident, extreme weather, transport disruption, equipment failure despite reasonable precautions, government restrictions or other unforeseen circumstances.
13.2 In the event Yor Visuals is unable to carry out the assignment, reasonable efforts will be made to reschedule the production or, where appropriate, arrange a suitable alternative.
13.3 If performance becomes permanently impossible due to force majeure, any payments relating to services that cannot be performed will be handled reasonably in accordance with the circumstances and applicable law.
Article 14. Equipment and Data
14.1 Yor Visuals takes reasonable professional precautions regarding equipment, recording media and storage of footage.
14.2 In the unlikely event of technical failure, corrupted files, theft, loss of equipment or other circumstances resulting in loss of footage despite reasonable precautions, Yor Visuals' liability will be limited in accordance with Article 15.
14.3 Yor Visuals is not obligated to permanently archive raw footage or project files after final delivery.
14.4 Clients are responsible for downloading and securely storing delivered files after delivery.
Article 15. Liability
15.1 Yor Visuals will perform its services with reasonable professional care.
15.2 Yor Visuals is not liable for indirect or consequential damages, including loss of profit, revenue, goodwill, reputation, missed commercial opportunities or other economic loss, except where liability cannot legally be excluded.
15.3 Yor Visuals is not responsible for circumstances caused by third parties involved in a production, including models, locations, stylists, make-up artists, agencies, transport providers or other suppliers not directly employed by Yor Visuals.
15.4 Where Yor Visuals is liable for direct damages, such liability will, to the extent permitted by law, be limited to the amount paid by the Client for the specific assignment giving rise to the claim.
15.5 Any limitations of liability in these General Terms & Conditions do not apply where liability cannot be limited or excluded under mandatory Dutch law.
Article 16. Complaints
16.1 Any complaints regarding delivered work must be communicated in writing within a reasonable period after delivery and should clearly describe the issue.
16.2 A complaint does not automatically suspend the Client's payment obligations.
16.3 Yor Visuals will be given a reasonable opportunity to investigate and, where appropriate, resolve a valid complaint.
Article 17. Applicable Law and Jurisdiction
17.1 All agreements between Yor Visuals and the Client are governed by Dutch law.
17.2 The applicability of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded where applicable.
17.3 Yor Visuals reserves the right to amend these General Terms & Conditions. The version applicable at the time the agreement is entered into will apply to that agreement unless mandatory law provides otherwise.
17.4 Any disputes will be submitted to the competent Dutch court in the district where Yor Visuals is established, unless mandatory law provides otherwise.
